1. Acceptance of Terms

By accessing or using ToolYard at toolyard.in (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using ToolYard, you represent that you are at least 13 years old and have the legal capacity to enter into these Terms.

2. Description of Service

ToolYard is a free online platform that provides web-based utility tools including but not limited to: image processing tools, text tools, developer utilities, calculators, color tools, generator tools, and an AI prompt library.

Key characteristics of our Service:

• Client-side processing: All tool computations occur in your browser. Files and data you input are not transmitted to our servers.
• No account required: All tools are accessible without registration.
• Free access: Core tools are provided at no cost and will remain free.
• Ad-supported: The Service is funded by display advertising.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. Acceptable Use

3.1 Permitted Uses

You may use ToolYard for any lawful personal, educational, or commercial purpose, including:

• Processing your own files and content using our tools
• Using our calculators and generators for legitimate work
• Copying and using AI prompts from our library
• Reading and sharing our blog content with attribution
• Embedding links to ToolYard tools in your own content

3.2 Prohibited Uses

You may not use ToolYard to:

• Violate any applicable law or regulation
• Process content that infringes third-party intellectual property rights
• Attempt to reverse-engineer, scrape, or copy our tools, designs, or codebase at scale
• Use automated bots to make requests to our servers at a rate that burdens our infrastructure
• Circumvent or interfere with any security features of the Service
• Use the Service to harm, harass, or deceive other people
• Generate, distribute, or store illegal content including CSAM
• Resell or white-label our tools without written permission

We reserve the right to block access to users who violate these terms.

4. Intellectual Property

4.1 ToolYard Property

The ToolYard brand, logo, website design, CSS, JavaScript code (excluding your inputs/outputs), blog articles, and AI prompt library content are the intellectual property of ToolYard and are protected by copyright law.

You may not reproduce, distribute, or create derivative works from our content without written permission, except as follows:

• You may share links to any ToolYard page.
• You may quote up to 100 words from blog articles with attribution and a link.
• You may copy and use AI prompts from our library for any purpose.

4.2 Your Content

You retain full ownership of any content you process using ToolYard tools. Since our tools operate client-side, your content never reaches our servers, and we make no claim to ownership of your inputs or outputs.

5. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Specifically, we do not warrant that:

• The Service will be uninterrupted or error-free
• Results obtained from any tool will be accurate, complete, or reliable for any specific purpose
• Any defects in the Service will be corrected
• The Service is free of viruses or other harmful components

Tool outputs (calculations, conversions, generated content) should be verified independently before use in critical applications. ToolYard tools are not a substitute for professional advice from qualified accountants, doctors, lawyers, or engineers.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOOLYARD AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of data or profits
• Loss of goodwill or business opportunities
• Errors or inaccuracies in tool outputs
• Unauthorised access to your transmissions or data
• Any other matters relating to the Service

Our total liability for any claim arising from your use of the Service shall not exceed the amount you paid to ToolYard in the 12 months preceding the claim (which, given our free model, is likely zero).

7. Advertising

ToolYard displays third-party advertisements to fund the Service. By using ToolYard, you acknowledge that:

• Advertisements may be displayed on any page of the Service
• We are not responsible for the content of third-party advertisements
• Clicking on advertisements may take you to third-party websites governed by their own terms
• We have no control over what products or services are advertised

8. External Links

ToolYard may contain links to third-party websites or services. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites. We encourage you to review the privacy policy of every site you visit.

9. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties.

Because ToolYard does not require accounts, "termination" typically means blocking your IP address or range from accessing our servers.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India.

If you are accessing ToolYard from the European Union, you retain any rights provided to you by EU consumer protection laws that cannot be waived by contract.

11. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date and display a notice on the homepage for 30 days. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

If you disagree with revised Terms, your only remedy is to stop using the Service.
